Terms of Service

These Terms of Service govern your access to and use of the TeamIntel service provided by NO BORING SHOPS L.L.C-FZ. By using the Service, you agree to these Terms.

1. Definitions

"Service" refers to the TeamIntel service, including all AI agents, integrations, governance tools, and related services provided by NO BORING SHOPS L.L.C-FZ.

"Customer" refers to the entity that has agreed to these Terms and uses the Service.

"User" refers to any individual authorized by the Customer to access the Service.

"Agent" refers to an AI-powered autonomous worker deployed within the Service.

2. Account terms

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access.

3. Acceptable use

You agree not to use the Service to violate any laws or regulations, infringe on intellectual property rights, distribute malware, attempt unauthorized access, or transmit harmful content. TeamIntel reserves the right to suspend accounts that violate these terms.

4. Service level

TeamIntel provides uptime commitments based on your plan tier: 99.5% for Starter, 99.9% for Professional, and 99.99% for Enterprise. Downtime is calculated monthly. Service credits are available for qualifying outages as detailed in your Service Level Agreement.

5. Intellectual property

TeamIntel retains all rights to the Service, including software, documentation, and proprietary technology. The Customer retains all rights to their data. Neither party acquires rights to the other party's intellectual property except as expressly granted in these Terms.

6. Data processing

Data processing is governed by the Data Processing Agreement (DPA) available at /legal/dpa. The DPA forms an integral part of these Terms. TeamIntel processes Customer data only as instructed by the Customer and in accordance with GDPR and applicable data protection laws.

7. Billing

Fees are charged in advance based on your selected plan. Annual plans are billed annually. You may upgrade at any time; downgrades take effect at the end of the current billing cycle. Prices may change with 30 days notice. All fees are exclusive of applicable taxes.

8. Termination

Either party may terminate with 30 days written notice. TeamIntel may terminate immediately for material breach. Upon termination, your data remains available for export for 90 days. After the export period, all data is permanently deleted in accordance with GDPR.

9. Limitation of liability

TeamIntel's total liability is limited to the fees paid in the 12 months preceding the claim. Neither party shall be liable for indirect, consequential, special, or punitive damages. These limitations apply to the maximum extent permitted by applicable law.

10. Governing law

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.

11. Disputes

Any disputes arising from these Terms shall first be addressed through good faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts of Dubai.

12. Changes to these terms

TeamIntel may update these Terms from time to time. Material changes will be communicated with at least 30 days notice. Continued use of the Service after the effective date constitutes acceptance. If you do not agree, you may terminate your account.
